As used in the Terms of Service:

“Member” means a person or legal entity that registers for an Account with for use of the Services available from the Site

“User” means (1) a person who is a Member, using the Site on his or her own behalf, or (2) a person who is using the Site on behalf of a Member that is a company or organization

“Freelance Consultant” means a Member who offers and delivers Provider Services to Requesters on the Site

“Requester” means a Member who investigates and purchases Provider Services on the Site

“Visitor” means a person who is only visiting the Site (i.e., not a Member or User)

“you” means the Visitor or Member accessing the Site or using the Services on the Site on his or her own behalf; or, if the Services on the Site are used on behalf of a company or organization, “you” means the Member for which the Services are used and the User who accesses the Site on behalf of such Member (and such User represents that he or she has the authority to do so on the Member’s behalf).

MEMBER ELIGIBILITY

Our Services are available only to legal entities and individuals in business who can form legally binding contracts. To register for an Account with and become a Member, you must accept all of the terms and conditions in, and linked to, the Terms of Service. reserves the right in its sole discretion to refuse, suspend, or terminate service to anyone.


YOUR ACCOUNT

To become a Member and use the services available from the Site you must register for an "Account". You will provide true, accurate and complete information as prompted by the registration form, and update such information to maintain its truth, accuracy and completeness. You must safeguard the Member ID and password you use to access this Site. We may rely on any use of the Site with your Member ID and password as authorized by you.


SCOPE OF SERVICES

The Site delivers the following Services (“Services”):

“Project Venue” The Site is a venue where: (1) Requesters can define and source projects ("Projects") and look for and engage Freelance  Consultant directly; and (2) Freelance Consultant can advertise their capabilities, bid on Projects, look for consulting opportunities, and provide Services directly to Requesters. In providing the Project Venue, does NOT source or deliver Projects, only provides the venue for Requesters and Freelance Consultant to find and contract with each other for Projects.

“Packages” The Site is also a venue where: (1) Requesters can buy defined service packages directly from and will source these packages from select Freelance Consultant; and (2) select Freelance Consultant can provide Services sourced and engaged by to Requesters. Unlike the Project Venue where Requesters and Freelance Consultant find and contract with each other, in the case of Packages actually sources and delivers Packages for Requesters. See the Packages Policy for a further description of this service.

“Professional Services” The Site is also a venue where: (1) Requesters can engage and can provide assistance to Requesters to define and scope Projects, source proposals from Freelance Consultant and select the best proposals for Buyer to choose from; and (2) Requesters can choose from the proposals sourced by , select the best Service Provider and contract directly with that Service Provider to provide services directly to the Requester. Unlike the Project Venue where Requesters and Freelance Consultant find and contract with each other with no assistance from , in the case of Professional Services actually assists Requesters to define and scope Projects, and source and filter Proposals before Buyer contracts with Service Provider directly.

“Transaction Services” These are the billing, payment, investigation, dispute resolution, and other Services delivers through the Site, other than Project Services and Package Services. See Billing and Payment Services Policy and Dispute Resolution Policy for a further description of these Services.

“ Services” means any of the above Services delivered by through the Site.

“Provider Services” means all Projects and any other Services delivered by Freelance Consultant through the Site.

FEES

You agree to pay all fees applicable to your use of the Services, and you agree not to circumvent the fee structure, all in accordance with the Site Policies and the Billing and Payment Services Policy, as applicable.
